Is yours damaged?

Simple answer... Yes.

The original headliner material was replaced by the prior owner, but it was a mess. I had that material removed... But the shell was too damaged to be reused. Then I had the damaged shell reinforced with fiberglass... But the result was lumpy and saggy.

Next?

Junkyard? I'm not very familiar with the XJ Wagoneer headliners but there are usually a few really nice looking Cherokee headliners I'm tempted to grab while I'm there.

Outside of hitting up a JY for one, and recovering it to give it a nice new appearance, only place I can think of to check is TeamCherokee (http://teamcherokee.com/headliner-board-assembly-w-headliner-oem-n-o-s-cherokee-1994-1996/) only one they show on their site was for a 1994-1996, so not sure if you can still make use of that one.. if not you might be able to check in with them and if they don't have one, they might be able to source one or tell you another place to check..

Regarding the one the TeamCherokee folks have... I've been trying to contact them for the last two weeks... No return calls or messages. As it states on their site... It can be used on later years of Cherokee with "modifications". Any clue how to the modifications and/or differences needed?

sound bar is off a '97 and early xj. yes those are zj seats. the back seats will need cutting and trimming to get to fit. in another word it is a pain but not too bad. front are pretty easy and comfortable than the xj seats.
